agoodread.co.uk (“we”, “us”, “our”) operates an online marketplace platform where independent authors and publishers (“Vendors, Sellers”) can sell physical books, eBooks and audiobooks to customers.

2. Platform Role

agoodread.co.uk acts as a marketplace platform only.

We are not the publisher, author, or copyright holder of most of the products listed on the site. Individual Vendors are responsible for the products they sell, including content, descriptions, pricing and fulfilment (except where AGoodRead undertakes fulfilment services on behalf of authors or publishers as a paid servcie).

3. Accounts

Customers

You may need to create an account to purchase or download digital products.

You are responsible for keeping your login details secure.

Vendors

Vendors must provide accurate and up-to-date information. We reserve the right to suspend or terminate vendor accounts for breach of these terms.

4. Products

Products sold may include:

  • Physical books
  • eBooks
  • Audiobooks

Digital products are delivered electronically and may require an account to access.

5. Pricing and Payments

All prices are displayed in GBP unless stated otherwise.

Payments are processed securely via third-party payment providers.

We do not store full payment card details.

6. Digital Products

Under UK consumer law, digital content is not refundable once downloaded, unless faulty.

By purchasing a digital product, you agree that:

  • Delivery begins immediately.
  • You lose your statutory right to cancel once download starts.

7. Physical Products and Returns

For physical books:

  • Customers may return items within 14 days under UK consumer law.
  • Items must be unused and in resale condition.
  • Return postage is the customer’s responsibility unless faulty.

Refunds are issued once the item is received and inspected.

8. Vendor Responsibilities

Vendors are solely responsible for:

agoodread.co.uk is not liable for vendor breaches.

9. Copyright and Content

Vendors retain copyright to their content.

By listing on agoodread, vendors grant us a licence to:

  • Display product listings.
  • Promote products on the site.

Customers may not redistribute digital products.

10. Marketplace Commission

We may charge Vendors a commission on sales.
Commission rates are published separately and may change.

11. Limitation of Liability

We are not liable for:

  • Loss of profits
  • Loss of data
  • Business interruption
  • Vendor content disputes

Our total liability is limited to the amount paid for the transaction in question.

12. Account Suspension

We reserve the right to:

  • Remove or edit listings
  • Suspend accounts
  • Terminate access

If users breach these terms or act unlawfully.

13. Platform Availability

We do not guarantee uninterrupted access to the site.
Maintenance, upgrades or outages may occur.

14. Data Protection

Personal data is processed in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the UK courts.

We reserve the right to refuse or terminate Vendor accounts at our discretion.

17.2 Content Ownership and Rights

Vendors confirm that:

  • They own or control the intellectual property rights to all content listed.
  • Their products do not infringe copyright, trademark, or third-party rights.
  • They have permission to distribute all digital content.

Vendors indemnify agoodread against any legal claims arising from their listings.

17.3 Product Listings

Vendors are responsible for:

  • Accurate descriptions.
  • Correct pricing.
  • Up-to-date availability.
  • Appropriate categorisation.

Misleading or unlawful listings may be removed without notice.

17.4 Fulfilment and Delivery

Vendors must:

  • Dispatch physical products within a reasonable timeframe.
  • Ensure digital products function as described.
  • Provide customer support for their products.

17.5 Returns and Refunds (Vendor Responsibility)

Vendors are responsible for handling returns and refunds in accordance with UK consumer law.

For physical products:

  • Vendors must accept returns within 14 days where required by law.
  • Refunds must be issued promptly after return.

For digital products:

  • Refunds are not required once content has been downloaded, unless faulty.

agoodread may mediate disputes but is not financially responsible for refunds.

17.6 Fees and Commission

Vendors agree to pay any platform commission or fees as published.

Commission rates may change with reasonable notice.

17.7 Tax and VAT

Vendors are solely responsible for:

  • Declaring income.
  • Charging VAT where applicable.
  • Meeting all tax obligations.

agoodread does not provide tax advice.

17.8 Prohibited Content

Vendors must not list:

  • Infringing or pirated material.
  • Offensive or illegal content.
  • Fraudulent or misleading products.

17.9 Account Suspension

We may suspend or terminate Vendor accounts for:

  • Breach of these terms.
  • Customer complaints.
  • Legal or regulatory concerns.
  • Failure to fulfil orders.

17.10 Limitation of Liability (Vendor)

Vendors acknowledge that:

  • agoodread provides platform services only.
  • We are not a party to sales contracts between Vendors and Customers.
  • Vendors bear full responsibility for disputes.

17.11 Indemnity

Vendors agree to indemnify and hold agoodread harmless against:

  • Copyright claims.
  • Customer disputes.
  • Regulatory action arising from Vendor conduct.
