1. About Us
agoodread.co.uk (“AGoodRead”, “we”, “us”, “our”) operates an online marketplace platform enabling independent authors, publishers and approved third-party sellers (“Vendors”) to sell physical books, eBooks and audiobooks to customers.

2. Our Role as a Marketplace
AGoodRead provides a technology platform that facilitates transactions between Vendors and Customers.
Unless expressly stated otherwise (for example where we provide paid fulfilment services), AGoodRead:

Is not the publisher or author of listed products

Does not own the intellectual property in Vendor content
-
Is not a party to contracts formed between Vendors and Customers
The contract for sale is formed directly between the Vendor and the Customer.
3. User Accounts
3.1 Customers
You may be required to create an account to purchase or access digital products.
You are responsible for maintaining the confidentiality of your login credentials.
3.2 Vendors
Vendors must:

Provide accurate and complete information
-
Maintain valid payout details
-
Comply with these Terms at all times
We reserve the right to suspend or terminate accounts for breach of these Terms.
4. Products
Products available on the platform may include:

Physical books
-
eBooks
-
Audiobooks
Digital products are delivered electronically and may require an account for access.
5. Pricing and Payment
All prices are displayed in GBP unless otherwise stated.
Payments are processed securely through third-party payment providers.
We do not store full payment card details.
AGoodRead may deduct applicable commission, fees, or other agreed charges before remitting sale proceeds to Vendors.
6. Digital Products – Consumer Rights
Under UK consumer law, digital content is not refundable once download or streaming has begun, unless the content is faulty.
By purchasing digital content, you agree that:

Delivery begins immediately; and
-
You lose your statutory right to cancel once access or download begins.
7. Physical Products – Returns
In accordance with UK consumer law:

Customers may cancel and return physical goods within 14 days of receipt.

Returned goods must be unused and in resale condition unless faulty.

Return postage is the Customer’s responsibility unless the item is faulty or not as described.
Refunds are processed once the returned item is received and inspected.
8. Vendor Obligations
Vendors are solely responsible for:

Ensuring they have legal rights to sell listed products

Accuracy of product descriptions and pricing
-
Compliance with copyright, trademark and consumer protection law
-
Fulfilment and dispatch of orders (unless fulfilment services are separately contracted with AGoodRead)
-
Tax compliance, including VAT where applicable
AGoodRead is not liable for Vendor breaches.
9. Intellectual Property
Vendors retain ownership of their intellectual property.
By listing products, Vendors grant AGoodRead a non-exclusive, worldwide, royalty-free licence to:

Display product listings
-
Promote products on the platform and associated marketing channels
Customers may not reproduce, distribute or share digital products.
10. Commission and Fees
AGoodRead may charge commission and/or service fees.
Rates are published separately and may be updated with reasonable notice.
Continued use of the platform constitutes acceptance of revised fees.
11. Disputes, Refunds and Withholding of Funds
Vendors are responsible for handling returns and refunds in compliance with UK law.
Where a dispute arises between a Customer and a Vendor, AGoodRead may:

Temporarily withhold payment of royalties or sale proceeds relating to the transaction;

Request further information from either party;
-
Facilitate resolution between the parties.
If a refund is required under consumer law, or if a Vendor fails to resolve a dispute within a reasonable period, AGoodRead may:

Issue a refund to the Customer; and
-
Deduct the refunded amount from withheld funds or future Vendor payouts.
Vendors agree that AGoodRead may take such action to ensure compliance with consumer protection law and to protect the integrity of the marketplace.
AGoodRead is not financially responsible for Vendor refunds except where funds have already been received and are being held for settlement.
12. Prohibited Content
Vendors must not list:

Infringing or unauthorised content

Fraudulent or misleading products
-
Illegal or unlawful material
We may remove listings without notice.
13. Suspension and Termination
We may suspend or terminate accounts or listings where:

These Terms are breached
-
There are repeated customer complaints
-
There is suspected unlawful activity
-
Orders are not fulfilled appropriately
We may also remove content where legally required.
14. Platform Availability
We do not guarantee uninterrupted access.
Maintenance, upgrades, or technical failures may occur.
We shall not be liable for temporary unavailability.
15. Limitation of Liability
To the fullest extent permitted by law, AGoodRead shall not be liable for:

Loss of profits

Loss of data
-
Business interruption
-
Indirect or consequential loss
-
Disputes arising between Vendors and Customers
Our total liability in respect of any claim shall not exceed the amount paid in the transaction to which the claim relates.
Nothing in these Terms excludes liability that cannot lawfully be excluded under UK law.
16. Data Protection
Personal data is processed in accordance with our Privacy Policy.
17. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Changes to These Terms
We may update these Terms from time to time.
Continued use of the platform constitutes acceptance of the updated Terms.
Vendor-Specific Terms (Supplementary)
This section applies specifically to Vendors.
A. Indemnity
Vendors agree to indemnify and hold AGoodRead harmless from:

Intellectual property claims
-
Customer claims arising from Vendor products
-
Regulatory action resulting from Vendor conduct
B. Tax Responsibility
Vendors are solely responsible for declaring income, charging VAT where required, and meeting all tax obligations.
C. Fulfilment Services (Where Applicable)
Where Vendors contract separately for fulfilment services provided by AGoodRead, additional terms and fees may apply.
